Terms and Conditions

RIGZLO is a managed professional services infrastructure platform that connects businesses with vetted finance and business professionals, including but not limited to bookkeepers, accountants, tax professionals, controllers, fractional CFOs, consultants, and related specialists.

Unlike open freelance marketplaces, RIGZLO operates a managed allocation and oversight model involving administrative review, quality management, verification processes, and operational supervision.

RIGZLO may provide:

• Professional matching services;
• Managed engagement coordination;
• Professional vetting and verification;
• Workflow administration;
• Platform communications;
• Billing and payment facilitation;
• Compliance and quality oversight;
• AI-assisted workflow infrastructure; and
• Related support services.

To use the Platform, you must:

• Be at least 18 years old;
• Have legal capacity to enter into binding agreements;
• Provide accurate and complete registration information;
• Not be prohibited from using the Platform under applicable law; and
• Comply with all applicable laws, regulations, and professional standards.

Businesses registering on behalf of an organization represent and warrant that they have authority to bind that organization.

Users may create accounts as:

• Clients;
• Professionals;
• Firms;
• Contractors; or
• Other approved categories.

You are responsible for:

• Maintaining the confidentiality of your credentials;
• All activities conducted under your account;
• Ensuring your information remains accurate and updated; and
• Immediately notifying us of unauthorized access or security incidents.

RIGZLO reserves the right to suspend, restrict, or terminate accounts at its discretion where:

• Fraud is suspected;
• Misrepresentation occurs;
• Platform abuse is identified;
• Professional standards are violated; or
• User conduct exposes the Platform or other users to risk.

RIGZLO is not a public accounting firm, law firm, tax advisory firm, investment advisor, or fiduciary unless expressly stated in a separate written agreement.

Professionals available through the Platform may be independent contractors, firms, or third-party service providers.

Unless explicitly agreed otherwise in writing:

• RIGZLO does not guarantee business outcomes, tax outcomes, regulatory approvals, audits, or financial performance;
• RIGZLO does not guarantee uninterrupted availability of any specific professional;
• Users remain responsible for reviewing and approving all work products, filings, submissions, and financial records; and
• Clients remain solely responsible for compliance with applicable tax, accounting, employment, and regulatory obligations.

RIGZLO may perform verification and screening activities, including:

• Credential reviews;
• Professional interviews;
• Identity verification;
• Background checks where legally permitted;
• Experience validation; and
• Quality control reviews.

However, users acknowledge that:

• No vetting process is infallible;
• Professional qualifications may change over time;
• Licensing requirements vary by jurisdiction; and
• Clients remain responsible for independently evaluating suitability for their needs.

RIGZLO reserves the right to:

• Reassign professionals;
• Replace professionals;
• Conduct peer or administrative reviews;
• Monitor communications conducted through the Platform; and
• Intervene operationally where quality, compliance, or security concerns arise.

Clients agree to:

• Provide accurate and complete business information;
• Cooperate reasonably with assigned professionals;
• Timely provide requested documents and records;
• Review deliverables before submission or implementation;
• Maintain independent backups of financial and business records; and
• Comply with all applicable laws and regulations.

Clients acknowledge that inaccurate or incomplete information may adversely affect the quality or legality of services rendered.

Professionals using the Platform agree to:

• Maintain all required licenses, certifications, and registrations;
• Provide truthful credentials and representations;
• Perform services competently and ethically;
• Maintain confidentiality of client information;
• Comply with professional standards and laws;
• Avoid conflicts of interest; and
• Adhere to RIGZLO operational policies and quality procedures.

Professionals shall not:

• Circumvent Platform payment systems;
• Solicit off-platform engagements in violation of Platform rules;
• Misrepresent qualifications;
• Upload malicious software or harmful content; or
• Use client data for unauthorized purposes.

RIGZLO may charge:

• Service fees;
• Platform fees;
• Subscription fees;
• Administrative fees;
• Transaction fees; or
• Other fees disclosed during engagement.

Users authorize RIGZLO and its payment providers to process payments associated with Platform services.

Unless otherwise stated:

• Fees are denominated in Canadian Dollars (CAD);
• Payments may be processed by third-party payment providers;
• Certain fees may be non-refundable;
• Taxes may apply in addition to listed prices; and
• Late payments may result in suspension of services.

RIGZLO reserves the right to modify pricing structures at any time upon reasonable notice.

All Platform content, software, systems, branding, trademarks, logos, workflows, methodologies, graphics, text, interfaces, and proprietary technology are owned by or licensed to RIGZLO and protected under applicable intellectual property laws.

Users shall not:

• Copy;
• Modify;
• Reverse engineer;
• Distribute;
• Resell;
• Exploit; or
• Create derivative works from Platform materials without prior written authorization.

“RIGZLO”, associated logos, and related marks are proprietary trademarks or trade dress of RIGZLO Technologies Ltd.

Users retain ownership of materials they upload or submit (“User Content”).

By uploading User Content, users grant RIGZLO a worldwide, non-exclusive, royalty-free license to:

• Host;
• Process;
• Transmit;
• Analyze;
• Display; and
• Use such content solely for purposes of operating, improving, securing, and administering the Platform and related services.

Users represent that they possess all rights necessary to upload such content.

Use of the Platform is subject to RIGZLO's Privacy Policy and Security Policy.

While RIGZLO implements commercially reasonable safeguards, no electronic system is entirely secure. Users acknowledge inherent cybersecurity and internet-related risks.

RIGZLO does not guarantee:

• Absolute data security;
• Continuous uptime;
• Error-free operation; or
• Immunity from cyberattacks, service interruptions, or unauthorized access.

Users are responsible for maintaining secure passwords and safeguarding access credentials.

The Platform may utilize artificial intelligence, automation, and machine-assisted technologies to support workflows, matching, administrative processes, document handling, analytics, or operational efficiency.

Users acknowledge that:

• AI-generated outputs may contain inaccuracies;
• Human review remains necessary;
• AI tools do not constitute professional judgment; and
• Final responsibility for decisions and submissions remains with the user.

Users shall not:

• Violate laws or regulations;
• Submit false or misleading information;
• Infringe intellectual property rights;
• Attempt unauthorized system access;
• Upload malware or malicious code;
• Interfere with Platform operations;
• Harvest user information;
• Circumvent payment systems;
• Engage in harassment or abusive conduct; or
• Use the Platform for fraudulent or unlawful purposes.

RIGZLO reserves the right to investigate and take appropriate action regarding violations.

The Platform may integrate with third-party software, payment processors, cloud infrastructure providers, communication systems, or external services.

RIGZLO is not responsible for:

• Third-party systems;
• External websites;
• Service interruptions;
• Data handling practices of third parties; or
• Third-party software performance.

Use of third-party services may be governed by separate terms.

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGZLO DISCLAIMS ALL WARRANTIES INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY; and
• UNINTERRUPTED AVAILABILITY.

RIGZLO DOES NOT GUARANTEE:

• BUSINESS RESULTS;
• REGULATORY OUTCOMES;
• TAX RESULTS;
• AUDIT RESULTS;
• CLIENT ACQUISITION;
• REVENUE GENERATION; or
• PROFESSIONAL AVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGZLO SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOST PROFITS;
• LOSS OF DATA;
• BUSINESS INTERRUPTION;
• REPUTATIONAL DAMAGES;
• TAX PENALTIES;
• REGULATORY FINES; or
• SPECIAL OR INCIDENTAL DAMAGES.

RIGZLO'S TOTAL AGGREGATE LIABILITY ARISING FROM THE PLATFORM OR SERVICES SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT PAID TO RIGZLO IN THE PRECEDING THREE (3) MONTHS; OR
• CAD $500.

Certain jurisdictions may not permit some limitations; therefore, portions of this section may not apply.

Users agree to indemnify and hold harmless RIGZLO Technologies Ltd., its directors, officers, employees, affiliates, contractors, and agents from claims, liabilities, damages, losses, expenses, and legal fees arising from:

• User conduct;
• Violations of these Terms;
• Infringement of rights;
• Regulatory violations; or
• Misuse of the Platform.

RIGZLO may suspend or terminate access:

• For violations of these Terms;
• For security concerns;
• For suspected fraud;
• For non-payment;
• For legal compliance reasons; or
• At its reasonable discretion.

Users may terminate their accounts subject to completion of outstanding obligations.

Termination shall not affect accrued rights, payment obligations, confidentiality duties, or intellectual property protections.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiations.

If unresolved, disputes may be submitted to mediation and, where necessary, binding arbitration in Ontario, Canada, unless prohibited by applicable law.

Users waive participation in class actions to the extent permitted by law.

RIGZLO reserves the right to modify these Terms at any time.

Updated Terms shall become effective upon posting on the Platform unless otherwise stated.

Continued use of the Platform following updates constitutes acceptance of revised Terms.

These Terms, together with any applicable policies, agreements, or engagement documents, constitute the entire agreement between users and RIGZLO Technologies Ltd. concerning the Platform and supersede prior understandings or communications.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

RIGZLO shall not be liable for delays or failures resulting from causes beyond its reasonable control, including:

• Natural disasters;
• Cyberattacks;
• Internet failures;
• Government actions;
• Labour disruptions;
• Pandemics; or
• Infrastructure outages.
